Terms of Service

These Terms of Service ("Terms") govern your access to and use of Salt, a mobile CRM application and associated website ("Service") provided by Winn Software Solutions ("we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using Salt, you represent and warrant that you meet these requirements.

2. Account Registration

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@winnss.com if you suspect unauthorized access.

3. Subscription and Billing

Salt is offered on a subscription basis. By selecting a subscription plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your plan) via our payment processor, Stripe.

You retain full ownership of all business data you enter into Salt (customer records, jobs, invoices, etc.). We process your data solely to provide the Service and as described in our Privacy Policy. We will not sell, share, or disclose your data to third parties except as required to operate the Service or comply with the law.

6. Intellectual Property

The Salt application, its design, source code, branding, and all associated intellectual property are owned by Winn Software Solutions and protected by copyright and other applicable laws. These Terms do not grant you any rights to our intellectual property other than the limited license to use the Service as described herein.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages beyond our control. We are not liable for any losses resulting from downtime or service interruptions.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WINN SOFTWARE SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your access immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, the Service, or third parties. Upon termination, your right to use the Service ceases. You may request an export of your data within 30 days of termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Tennessee.

12. Changes to Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice in the app. Continued use after the effective date of the revised Terms constitutes acceptance.
